03 — The Deal

A discounted booking, a projected $7,000 net.

The standard 5-hour booking rate for the Pop-Up Fairway simulator is $1,750. Walk-On's The Colony pays $1,000 in exchange for transferring marketing rights to the player roster. That's $15,000 in discounted access across the season, on top of a $7,000 projected net once the league math and F&B clear.

The Trade

$15,000 off rack rate. In exchange for the roster.

The discount is real. Twenty nights at the standard $1,750 rate would run $35,000. Walk-On's The Colony gets the same twenty nights for $20,000. The savings are Walk-On's. The consideration is straightforward.

  • Pop-Up Fairway retains marketing rights to the full player roster including name, email, phone, and team affiliation
  • Walk-On's delivers the roster within 7 days of registration close
  • Both parties may use the data for league communications during the season
  • Co-branded marketing across Pop-Up Fairway channels for the full 10-week run
  • First right to renew at the same rate for the following season
04 — Payment

One deal. One payment structure.

A 25% non-refundable deposit at signing secures the dates and the equipment. The remaining $15,000 is paid weekly across the season, in step with the league's run. Total contract: $20,000.

05 — Contract Terms

The terms in plain English.

A snapshot of the key clauses that will appear in the signed agreement. The full document will be provided as a separate PDF for legal review by both parties prior to signing.

01 Contract Value & Rate Structure +

The standard 5-hour booking rate for the Pop-Up Fairway simulator is $1,750 per night. Walk-On's The Colony is granted the discounted league partner rate of $1,000 per night across 20 league nights, for a total contract value of $20,000.

The $15,000 reduction from rack rate constitutes the consideration for the player data and marketing rights transfer set forth in Section 04 of this term sheet.

02 Payment Schedule & Deposit +

A non-refundable deposit of $5,000 is due at contract signing and secures the league dates, equipment allocation, and on-site setup.

The remaining balance of $15,000 is paid in 10 weekly installments of $1,500, beginning the first week of league play. Each weekly payment is due by close of business Friday of that week.

Payment is made via ACH or wire transfer. Card payments are not accepted on this contract.

03 Player Registration, Dues & Liability +

Walk-On's is solely responsible for all aspects of player registration, including but not limited to: team signups, dues collection, payment processing, refunds, chargebacks, no-show penalties, and any disputes arising from player participation.

Walk-On's retains 100% of all player revenue collected. Pop-Up Fairway has no claim to and bears no responsibility for player-side funds.

Pop-Up Fairway's obligation under this contract is to provide the simulator, software, and on-site operational support for the 20 scheduled league nights, independent of player participation levels.

04 Player Data & Marketing Rights +

In exchange for the discounted rate, Walk-On's agrees to deliver the complete player roster to Pop-Up Fairway within 7 days of registration close. The roster must include: full name, email address, phone number, team affiliation, and registration date for each registered player.

Pop-Up Fairway retains permanent marketing rights to the delivered player roster, including the right to contact players for future leagues, events, promotions, and partnerships.

Both parties may use the player roster for league-related communications during the active season. Neither party may sell, transfer, or sublicense the data to third parties without written consent.

05 Minimum Teams Threshold +

If fewer than 14 of 20 teams have completed registration 14 days prior to the scheduled league launch date, either party may elect to delay the season start by up to 30 days or cancel the engagement.

06 Acceleration & Default +

Missed weekly payments trigger a 10-day cure period upon written notice. Failure to cure within the cure period results in the entire remaining contract balance becoming immediately due and payable.

Pop-Up Fairway reserves the right to suspend simulator service for any league night occurring after a payment default until the balance is brought current.

07 Personal Guarantee +

If Walk-On's The Colony is structured as a limited liability entity, an authorized principal of the entity will execute a personal guarantee of all financial obligations under this contract.

The personal guarantee is limited to the contract value and any reasonable collection costs in the event of default.

08 Equipment & Operations +

Pop-Up Fairway provides: the mobile simulator and all associated hardware, golf simulation software, scoring system, on-site setup and breakdown each league night, and one trained operator per league night.

Walk-On's provides: sufficient space to accommodate the simulator setup, dedicated 110V power, reliable internet connectivity, and all food and beverage service for league participants.

Walk-On's is responsible for all on-premises liability including alcohol service, player conduct, and general venue safety. Each party maintains its own commercial liability insurance.

09 Cancellation by Either Party +

Cancellation by Walk-On's post-signing: the $5,000 deposit is forfeited. Any weekly payments already made are non-refundable. Future scheduled nights are released back to Pop-Up Fairway for rebooking.

Cancellation by Pop-Up Fairway: limited to (a) equipment failure that cannot be resolved within 48 hours, or (b) force majeure events. In either case, prorated refunds will be issued for any unfulfilled league nights.

Either party may terminate the contract for material breach with a 14-day written cure period.

10 Brand Marks & Renewal +

Each party grants the other a limited, non-exclusive license to use its name and logo solely for marketing the Walk-On's Mobile Golf League during the active contract term. All brand usage requires prior approval of the originating party. The license expires upon contract completion.

Walk-On's holds first right of refusal to renew at the same league rate for the season immediately following completion of this contract, provided written notice of intent to renew is delivered no later than 30 days prior to season close.
